These Terms and Conditions ("Terms") govern your access to and use of the website operated by Tzi Yi Holdings ("we", "us", or "our") at tzi-yi.com and your engagement of our services. If you do not agree to these Terms, please do not use our website or services.

When engaging our services, you agree to:

• Respond to requests for feedback, approvals, and materials in a timely manner
• Ensure you have rights to any content, assets, or data you supply to us
• Comply with applicable laws, including advertising standards and data protection requirements

Delays caused by late approvals, missing materials, or scope changes may affect timelines and costs.

Fees, payment schedules, and accepted payment methods are set out in your Service Agreement or invoice. Unless otherwise agreed in writing:

• Invoices are payable within the period stated on the invoice
• Late payments may incur interest or suspension of work
• Quoted fees exclude third-party costs (e.g. ad spend, licences, hosting) unless specified
• All amounts are in Singapore dollars unless stated otherwise

We retain ownership of our pre-existing materials, methodologies, tools, and general know-how. Upon full payment of applicable fees, ownership of final deliverables created specifically for you under a Service Agreement transfers to you as set out in that agreement.

We may display completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing before project completion.

Website content, branding, logos, and design elements on this site remain our property or that of our licensors and may not be copied or reused without permission.

Each party agrees to keep confidential any non-public business, technical, or financial information received from the other, except where disclosure is required by law or already public through no fault of the receiving party. Confidentiality obligations survive termination of the engagement.

We perform services with reasonable skill and care consistent with industry standards. Except as expressly stated in a Service Agreement, our website and services are provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose or uninterrupted availability.

We do not guarantee specific business outcomes (such as rankings, leads, or revenue) unless explicitly agreed in writing, as results depend on many factors outside our control.

To the fullest extent permitted by Singapore law, we are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunity, arising from your use of the website or our services.

Our total aggregate liability for any claim relating to a specific engagement is limited to the fees paid by you to us for that engagement in the twelve (12) months preceding the claim, unless a different cap is set out in your Service Agreement.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to indemnify and hold us harmless against claims, losses, and expenses arising from your breach of these Terms, misuse of deliverables, or supply of content that infringes third-party rights.

Either party may terminate a Service Agreement as specified in that agreement. We may suspend or terminate services if fees are overdue, you breach these Terms, or continuation becomes impractical. Upon termination, you remain liable for work performed and expenses incurred up to the termination date.

Our work may involve third-party platforms, tools, or vendors (e.g. hosting providers, advertising networks, analytics). We are not responsible for third-party terms, outages, or policy changes. You are responsible for your accounts and compliance with those providers' terms.

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore, unless the parties agree in writing to alternative dispute resolution.

We may update these Terms from time to time. The "Last updated" date above reflects the latest version. Continued use of the website after changes constitutes acceptance of the revised Terms. Material changes to active Service Agreements will be communicated where appropriate.
